Zoscales Partners is an award-winning private equity fund in East Africa with offices in Addis Ababa, Nairobi, and Zurich. The fund operates the Sustainable Noble Assets Platform (SNAP) focused on decarbonizing industries.

Zoscales Partners would like to formally engage service providers to support on the legal structuring of the Project Preparation & Development (PPD) Facility under SNAP. SNAP operates a dual‑pool blended‑finance structure combining a commercial equity fund with a concessional, catalytic PPD arm. The PPD is now evolving to include straight‑equity capability, concessional capital layers, and a more permanent vehicle design. These shifts require a clear and robust legal framework.

TREF will be Luxembourg based, advised by Impact Earth, managed by an experienced Alternative Investment Fund Manager (AIFM) and structure as an Alternative Investment Fund (AIF).

To this end, Impact Earth seeks expert advice on the optimal fund structure, including master/sub-compartments, regional investor participation, technical assistance (TA) facilities, side-car vehicles, and a warehousing facility to be merged into the fund at first close.

These organizations operate commuter buses and benefit cars for staff transportation, mobility, and corporate use. The business does not target trucks, heavy-duty, or industrial vehicles.

To this end, Zoscales Partners invites consulting firms to develop a full EV Operational Leasing Business Plan, define meaningful USPs, and prepare a multi-country expansion strategy for six selected African countries, explicitly focused on commuter buses and benefit cars.

Request for Proposal (RFP) - Scalar - Establishment & Administration

Scalar International (Scalar) is an alternative investment management firm, investing in sustainable energy technologies with a focus on advanced, energy-efficient manufacturing technologies, especially new energy storage and distributed energy systems, and Electronic Vehicle Charging Infrastructure. Scalar investments are designed to generate attractive risk-adjusted returns for investors while advancing environmental and social objectives aligned with the U.N. Sustainable Development Agenda and the Paris Agreement.

Scalar intends to establish a Variable Capital Company (VCC) fund structure in Mauritius, as introduced in Mauritius through the Variable Capital Companies Act 2022. The establishment of this structure requires the establishment of a Global Business Company (GBC) to obtain the Global Business Licence (GBL) but also obtain the CIS Manager licence (CIS). This company is intended to own the VCC and be its investment manager. The first fund shall be an incorporated closed-ended fund for professional investors only.

To this end, Scalar is seeking a service provider to support the establishment and administration work of the fund structure.
